1 About Trio Overseas Exim

Trio Overseas Exim is an Indian export house established on 10 December 2025, engaged in the sourcing and export of textile, agro, baby care, and industrial products to global markets. We operate from Pune, Maharashtra, with registered documentation at Kaij, Beed – 431123, Maharashtra, India.

2 Use of Website

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the site to transmit unsolicited commercial communications (spam)

• Written acceptance by the buyer, and
• Receipt of any agreed advance payment where applicable

All quotations are valid for the period stated therein and are subject to availability, exchange rate fluctuations, and prevailing export regulations.

4 Products and Specifications

We make every effort to ensure that product descriptions, images, and specifications on our website are accurate. However:

• Photographs are illustrative; actual product appearance may vary slightly
• Specifications are subject to change without notice due to supplier or manufacturing updates
• Certified product grades and export-compliant specifications will be confirmed in the final commercial documentation

5 Pricing and Payment

All prices quoted are in the currency stated in the Proforma Invoice (typically USD, EUR, or INR) and are exclusive of applicable taxes, freight, insurance, and customs duties unless explicitly stated otherwise. Payment terms shall be as mutually agreed and specified in the commercial contract. We reserve the right to amend pricing for new orders at any time.

6 Shipping, Delivery & Risk

Unless otherwise agreed in writing:

• Shipment terms (Incoterms) will be specified in the Proforma Invoice
• Risk of loss or damage passes to the buyer in accordance with the agreed Incoterm
• Delivery timelines are estimates and may be affected by port congestion, customs clearance, force majeure, or other circumstances beyond our control
• Trio Overseas Exim shall not be liable for delays caused by freight forwarders, carriers, or government authorities

7 Quality and Inspection

We conduct pre-dispatch quality inspections to ensure goods meet agreed specifications. The buyer may nominate a third-party inspection agency at their own cost, subject to prior written agreement. Claims regarding quality discrepancies must be raised within 7 days of receipt of goods, supported by photographic evidence and independent testing reports where applicable.

8 Intellectual Property

All content on this website — including but not limited to the Trio Overseas Exim logo, brand name, text, product images, and layout — is the intellectual property of Trio Overseas Exim or its licensors and is protected under applicable intellectual property laws. You may not use, copy, reproduce, or distribute any content without our prior written consent.

9 Limitation of Liability

To the maximum extent permitted by applicable law, Trio Overseas Exim shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to:

• Changes in government regulations or export restrictions affecting shipments

Our total liability, in any event, shall not exceed the value of the specific order or transaction in question.

10 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of a commercial engagement — including pricing, buyer/supplier details, and commercial terms — and shall not disclose such information to third parties without prior written consent, except as required by law.

11 Force Majeure

Neither party shall be held liable for failure to perform its obligations to the extent that such failure results from events beyond reasonable control, including natural disasters, government actions, pandemics, strikes, port closures, or war. The affected party shall promptly notify the other and use reasonable efforts to resume performance.

12 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or any commercial transaction shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Beed, Maharashtra, India.

13 Amendments to Terms

We reserve the right to update or modify these Terms at any time. Changes will be reflected by updating the "Effective Date" above. Continued use of our website or services after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
